Terms & Conditions BY USING THE The Film and TV Agency (Part of NFD) WEB SITE/ONLINE AGENCY AND CLICKING THE OK BUTTON YOU ACKOWLEDGE YOUR ACCEPTANCE AND AGREEMENT TO THESE TERMS AND CONDITIONS 100%. The following terms and conditions of use (the "terms and conditions") govern your ("you") use The Film and TV Agency (Part of NFD) (the "online agency"), as provided by The Film and TV Agency (Part of NFD)" or "we". Our commission rates are as follows: All jobs for artists are subject to commission and prices are always quoted in gross. - 15% on all extra work - 20% on all modeling assignments - 20% on all contracts and their extensions for engagements carried out during the period of representation by The Film and TV Agency (Part of NFD) for television commercials, cinema commercials and all forms of commercial advertising - 20% on all contracts and their extensions for engagements carried out during the period of representation by The Film and TV Agency (Part of NFD) for television and film parts (reduced to 10% for ongoing work)* - 20% on all contracts and their extensions for engagements carried out during the period of representation by The Film and TV Agency (Part of NFD) for stage and theatre parts (reduced to 10% for ongoing work)* - 20% on all work involving children*** (reduced to 10% for ongoing work)* - If you secure a part independently of NFD but ask NFD to manage and or invoice the film/production company commission will be due the same as if NFD had secured the part - see above. * Ongoing work is defined as second series / second film and so on. *** The Film and TV Agency (Part of NFD) allows children and babies to join the agency however none of the details provided are made live until we receive a completed and signed children and babies guardian/parents permission form back by mail and or we speak to the parents personally. For children this contract is 100% sole agency (no other agents allowed) and is considered to be in force until three months notice has been given in writing and acknowledged by NFD. Any fees for any work for children gained before the end of notice is deemed to be still payable to NFD for the full duration of that part even if they leave NFD Agency during that parts duration. We NEVER allow personal location/contact details of children to be shown. Registered users ONLY can view very limited information THAT DOES NOT divulge any personal location/contact details of children At present VAT is non-chargeable on commission. Registration Eligibility Actors, presenters, & models: In order to use the online agency you must be actively seeking work as a professional actor, presenter or model. Casting directors: In order to use the online agency you must be a genuine casting professional looking to find cast / actors, models and presenters for paid positions. User Information. In the course of your use of the Site, you may be asked to provide certain information about yourself to us ("User Information"). You acknowledge and agree that you are solely responsible for the content of the User Information and that all User Information is accurate, including the content of your online Profile. User Conduct. The Film and TV Agency (Part of NFD) provide an online agency aimed at genuine acting & casting professionals. You warrant and agree that you shall not: • Upload, post or transmit to or distribute or otherwise publish through the Site any material that violates any provision of these Terms and Conditions or the law of the State or Country in which you are based; • Restrict or inhibit any other User from using and enjoying the Site; • Contact users for any non-professional reason • Send identical bulk emails • Constitute or encourage conduct that would constitute a criminal offence or give rise to civil liability; • Impersonate, or misrepresent your affiliation with any other person or entity; • Upload, post, publish, transmit, reproduce, distribute or in any way exploit any information or other material obtained through the Site for commercial purposes (other than as expressly permitted by the provider of such information or other material); • Engage in spamming or flooding; or • Attempt to gain unauthorized access to other computer systems through the Site. Except as otherwise expressly permitted herein, you may not upload, post, publish, reproduce, transmit or distribute in any way any component of the online agency itself or derivative works. We have no obligation to monitor any content on or through the Site and we assume no obligation. You acknowledge and agree, however, that we do retain the right to monitor the online agency and to disclose any information as necessary or appropriate to satisfy any law, regulation or other governmental request, to operate the online agency properly, or to protect ourselves or our Users. Submitted Material. Any information or material that you submit or send to The Film and TV Agency (Part of NFD) or otherwise make available on or through the online agency ("Your Material") will be deemed not to be confidential or secret. By submitting or otherwise making Your Material available on the Site, You: • Agree and acknowledge that Your Material will not be treated as confidential or proprietary. • Agree and acknowledge that Your Material is owned by The Film and TV Agency (Part of NFD). • Represent and warrant that Your Material: • Is original to you and that no other party has any rights to the material; • Does not contain any content that is unlawful, threatening, harassing, profane, tortuous, defamatory, vulgar, obscene, libelous, deceptive, fraudulent, contains explicit or graphic descriptions or accounts of sexual acts (including but not limited to sexual language of a violent or threatening nature directed at another individual or group of individuals), invasive of another's privacy, or hateful; • Does not contain a virus or other harmful component; and • Does not contain, unless the specific Service allows, any advertising of any kind, or false or misleading indications of origin or statements of fact. • Grant The Film and TV Agency (Part of NFD) the royalty-free, unrestricted, worldwide, perpetual, irrevocable, non-exclusive and fully sub-licensable right and license to use, reproduce, modify, edit, adapt, publish, translate, create derivative works from, distribute, perform and display Your Material (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, and that Your Material may appear in search engines. You also warrant that any "moral rights" in Your Material have been waived. • Agree and acknowledge that Your Material may appear in Google and other search engines. • The Film and TV Agency (Part of NFD) reserve the right to view the content of all mail passing through the site. • The Film and TV Agency (Part of NFD) reserve the right not to post and to remove any User Information, subscriptions, profiles, messages, and content therein without notice. • The Film and TV Agency (Part of NFD) reserves the right without warning to deny and/or cancel membership to any person who we deem from their profile or use of the site to be unsuitable for the The Film and TV Agency (Part of NFD). • If you secure a part independently of NFD but ask NFD to manage and or invoice the production company commission will be due the same as if NFD had secured the part. You acknowledge and agree that in connection with your use of the The Film and TV Agency (Part of NFD) You must: (a) Provide for your own access to the World Wide Web and pay any service fees associated with such access. (b) Provide all equipment necessary for you to make such access and connection to the World Wide Web, including a computer, software, a modem and a means of connecting to or accessing the Internet. The Film and TV Agency (Part of NFD) shall not be responsible for any malfunctions, errors, crashes or other adverse events that may occur from your use of the Site. Proprietary Rights Any commercial use of the Site is strictly prohibited, except as allowed herein or otherwise approved by us. You may not download or save a copy of any of the content or screens except as otherwise provided in these Terms and Conditions, for any purpose. Additional terms for casting professionals You warrant that you are a bona fide casting professional and that you will register and log on as such. You shall use the Information contained on the Website for the sole purpose of considering employing or otherwise retaining the services of the individuals and organisations contained on the Website. You acknowledge that the Information contained in The Film and TV Agency (Part of NFD) is the property of The Film and TV Agency (Part of NFD) and that you shall ONLY copy, download or otherwise disseminate it in connection with your role as identified above only. The license granted herein is personal and may not be assigned. We do not provide any warranty or guarantee concerning the information relating to individuals contained on The Film and TV Agency (Part of NFD) and therefore we cannot accept any liability associated with its use. Additional terms for actors, presenters and models We cannot guarantee work, as the jobs rest with the casting agents and are affected by the state of the industry as a whole. We cannot guarantee that employers who view your profile will call you in for an audition or that you will be offered the position after audition. Those decisions rest with the casting agents. We are unable to verify or provide any assurance relating to the nature or duration of any work or appointment that you may be offered as a result of using the The Film and TV Agency (Part of NFD). It remains your sole responsibility to ensure that any work or appointment is acceptable to you. As with all jobs of this nature, your photograph is the first impression that many casting directors get of you. So if you change your appearance (e.g. hair colour, length, etc), please immediately update your profile on-line. When The Film and TV Agency (Part of NFD) secures you a part all monies due for that part must continue to come through The Film and TV Agency (Part of NFD) until that part terminates even if you leave the agency during that time. Leaving the agency does not release you from your liability to us for parts gained by using The Film and TV Agency (Part of NFD). Under no circumstances are you to deal directly with TV / FILM / THEATRE / MODEL companies directly concerning payment and contracts. Any enquires should be referred immediately to The Film and TV Agency (Part of NFD). While every effort is always made to collect fees due to you we cannot accept direct responsibility for non-payment by companies you may undertake work for. We cannot be held responsible for changing of the prearranged time or day by the company offering you work or indeed them changing their minds about having you no matter how short notice it is. You are 100% responsible for ensuring you turn up at the right place and time dressed appropriately and with props if required. Once you agree and confirm your appointment for a part and have accepted the offering companies’ terms and conditions it is your responsibility to ensure you abide by them. If you accept an invitation to audition (online, email or by phone) gained by The Film and TV Agency (Part of NFD) you are then bound to us 100% (unless an agreement has been previously made with any other agent/s representing you - Adults ONLY - all children are bound by a sole contract until they are 18 years old) and agree that we are your sole agent should you be selected for the part regardless of any other contracts with other agents you may have signed previously or after acceptance. This agreement remains in force for the duration of that part even if it spans a number of series / films and does not end until that part terminates even if you leave the agency during that time. Leaving the agency does not release you from your liability to us for parts gained by using The Film and TV Agency (Part of NFD). If at any time either party wishes to terminate this agreement, three months notice must be given in writing by either party, unless otherwise mutually agreed. If you as an artist fail to adhere to the general guidelines of conduct provided by us, and agreed by you, The Film and TV Agency (Part of NFD) reserves the right to terminate the contract immediately and without prior notice.
